Most large employer health plans are governed by the Employee Retirement Income Security Act of 1974 (ERISA), which requires plan fiduciaries to act solely in the best interests of participants and beneficiaries. Recent regulatory changes and legal actions have focused increased attention on whether rebate arrangements involving pharmacy benefit managers (PBMs), consultants, brokers, and other service providers may conflict with those fiduciary duties.

In particular, questions have arisen as to whether rebate structures, compensation arrangements, or undisclosed financial incentives may have resulted in higher drug costs, reduced plan benefits, or increased out-of-pocket expenses for employees, rather than maximizing value for plan participants.

Sauder Schelkopf is reviewing these issues and evaluating whether certain practices may give rise to ERISA fiduciary-breach or prohibited-transaction claims, depending on the facts and circumstances of individual plans.
